Statute
The association Solar Net International r.a, is registered on registration street 4577 with the local Court Münster.§1
The association is to be registered with the official register of societies and associations and shall then be called Solar Net International r.a and shall have its headquarters in Münster, the business year shall correspond to the calendar year. §2 Purpose of the association
The purpose of the association shall be to encourage the use and the promotion of renewable energies on an international level.
The support of the youths in the field of the media shall play an important role.
The association shall solely and directly pursue non-profit purposes as tax-deductible purposes as defined by tax law.
In particular, the purpose of the statutes and articles shall be realised by international exchange of young people through
- networking and communication via internet
- project work
- informational meetings
§3 Selflessness
The association is not self-interested, it shall not pursue its own economic interests.
The funds of the association may only be used for purposes in accordance with the statutes.
The members shall not receive grants of allowances from the funds of the association.
No person shall benefit from expuses incompatible with the nature of the corporation or from examine compensation.
§4 Membership / General assembly of members
The minutes shall be signed by the head of the assembly and the recording clerk. Any natural person or legal entity who acknowledges the statutes and supports the aims of the association can become a member.
The assembly of members shall pass resolutions with a single majority. The assembly of members shall decide on the admission of new members.
Members shall be charged membership fees.
The assembly shall decide on the amount. It has to be paid annually, the managing committee (“committee”) can decide on the exclusion of a member because of gross violation of the duties of membership, e.g. for not paying the memberships fees after a single reminder. The resolutions of the assembly of members are recorded.
The membership shall end with the death of the member, with their resignation or exclusion from the association.
Resignation shall only be possible at the end of a calendar year and must be announced in writing three months before the end of the year.
Task of the assembly
- The assembly shall decide on the admission of new members
- The assembly shall decide on the alterations of the statutes with a majority of two thirds of the members present
- The assembly shall accept the annual report and the audit of the auditors
- The assembly shall decide on the budget of the association
- The assembly shall decide on the exoneration of the committee
- The assembly shall elect the committee for two years
§5 The Committee
The Committee shall consist of four members: The first chairman, the second chairman (recording clerk), the third chairman (responsible for press and public relations), and the fourth chairman (treasurer, responsible for finances). Resolutions of the committee shall be passed with a single majority. The resolutions shall be recorded.
The Committee shall stay in office until a new Committee is elected.
The first and second chairman shall form the Committee according to §26 BGB (German Civil Code).
According to §26 BGB the Committee is represented at court and out-of-court by the first and second chairman.
The Committee shall call a meeting, at least once a year by giving to weeks notice advance in writing. The first chairman shall manage the current affairs of the association. A member of the Committee may receive an adequate compensation for their activities.
If certain statutes should prevent the registration with the official register of societies and associations or stand in the way of the recognition as a non-profit making organisation by the competent tax authorities the Committee shall be entitled to cause corresponding alterations independently after the resolution of the assembly of members.
§6 Dissolution of the association / end of tax concession
When the association is dissolved or the tax concession leases the assets of the association shall go to the catholic church of the Bishopric of Münster. This institution shall use the funds solely for charities connected with the use of renewable energies in Kumasi,Ghana.
§7 Auditing
The assembly shall elect at least one auditor.
Their tasks shall be auditing and the control of the keeping of the resolutions of the association.
